Payment
Your payments are due on the dates listed in your contract unless we have agreed to change them. Your payment must be received by us on or before the due date each month in order to avoid late charges. In the event that you cannot make your payment by the due date please call us in advance. |

Non-cancelable
Your contract cannot be canceled. You are responsible for making timely payments to us regardless of the condition, performance, accessibility or existence of the equipment. We provide no warranties regarding the equipment. Our contract is governed by the laws of the State of California. |
Additional Charges
You are responsible to pay any late charges, sales/use taxes, property taxes, filing fees, license fees, registration fees, penalties, and other assessments per the terms and conditions of the contract. |

Pay-off Quotes
If you are serious about paying off your contract you may call us for a quote. At our discretion, we may quote a pay-off amount. The pay-off amount will be a discount of the remaining unpaid payments plus any purchase option, less any security deposit. All unpaid late charges, taxes and other fees will be added. |
Invoices
As a courtesy, we will endeavor to mail monthly invoices to you in advance of your due dates. However, your payment will still be due whether you receive an invoice or not. Your invoice may include unpaid late charges from previous delinquencies that have not been invoiced before. Please make sure we have your correct mailing address. |

Assignment
You may not assign your contract without our written consent. In addition, you must have our advance written permission to allow others to use the equipment unless it is specifically permitted by your contract. |
Equipment
We make no warranties regarding the equipment. You are responsible for the maintenance and security of the equipment. You are required to use the equipment in a legal manner and for business purposes. You may not relinquish control of the equipment unless we have given you advance written permission. You must keep the equipment unencumbered from liens. You may not sell the equipment. We may inspect the equipment during the contract term. You must notify us immediately of any equipment loss, damage or serious accidents. |

No Representation
No salesperson or representative of any supplier, vendor, consultant or broker has acted or is acting on behalf of us in any way. No promise by any such party is binding on us or alters your duty to make payments under the contract. If an independent broker or supplier has assisted you with this transaction please note that he/she does not work for us and does not represent us. Our contract encompasses the entire understanding between you and us regarding the equipment. |
Insurance
You bear the risk of loss for the equipment. You must maintain and pay for satisfactory property and liability insurance without interruption until all your obligations are fulfilled. We must be notified in advance of any changes to your insurance coverage. We must be named additional insured and loss payee on the insurance certificate. You must notify us immediately of any equipment loss, damage or claims. |

Default
The contract will be in default if we do not receive your payment when due or if you do not comply with any other obligation you have under the contract. Upon your default we may accelerate the remaining unpaid balance, repossess the equipment and pursue other legal remedies. Please refer to the contract for details. |
Information
Please inform us in advance of any address or location changes, ownership changes and other material changes in your business. We may request that you provide updated financial information during the term. |

It is essential that you notify us in advance of any anticipated changes in ownership, financial condition or operations of your business. |
